What is the opportunity?
We are seeking a talented, experienced lawyer to join the Omnissa Legal Team as Senior Assocaite Counsel, Japan. This is a generalist role reporting to the APJ Regional Legal lead and will be working with the business in multiple areas. Your primary role will be supporting the Sales and Commercial Legal Teams with contractual negotiations in Japan and elsewhere in the region. In addition, you will also help Omnissa navigate the intricacies of the employment law landscape in Japan and provide counsel and assistance with various local corporate governance matters.
Responsibilities:
- Drafting, reviewing and negotiating agreements with direct customers, including software, SaaS, and professional services agreements, and agreements with channel partners, all in coordination with the Omnissa Deal Management Team and other internal stakeholders as needed.
- Provide legal advice and support to the Deal Management and Sales Operations Teams with regard to customer requests for modifications to Omnissa standard terms and deal-related questions, in accordance with Omnissa business policies and guidelines.
- As required, provide guidance and support to internal stakeholders on sales contract-related matters, including interpretation of contract terms, addressing customer concerns, and resolution of disputes.
- Provide general assistance with employment law matters, including HR policy work, performance management, employment agreements, accommodations, benefits and other employee incentives, and manager and employee training, in alignment with business priorities and regulatory requirements.
- Support corporate governance matters, such as assisting with board meetings, resolutions, compliance filings and the like.
What will you bring to Omnissa?
- Qualified to practice law in Japan.
- Native level Japanese and business level English
- Minimum 5 years of experience negotiating software and SaaS licensing agreements, and related professional services agreements at a B2B company. In-house experience in a United States-based technology company preferred but not required.
- Some experience providing general legal support in employment law and corporate governance matters is required.
- Experience in negotiating public sector agreements is a plus.
- Excellent drafting and negotiation skills with the ability to communicate complex legal and business concepts clearly and concisely.
- Ability to identify and mitigate legal and business risks and provide practical solutions to complex issues to support Omnissa corporate strategies.
- Ability to work effectively in a fast-paced environment and manage multiple priorities with attention to detail.
- Collaborative mindset with the ability to work cross-functionally and build strong relationships with internal and external stakeholders.
