Responsibilities

What is the opportunity?:

As Senior Regional APJ Counsel – Employment and Corporate, you will be an expert in multiple subject matters – (1) helping Omnissa navigate the intricacies of the employment legal landscape in the Asia Pacific Japan (APJ) region; (2) providing counsel and expertise in various corporate governance and real estate matters in APJ, particularly in India; and (3) occasionally supporting sales and the commercial legal team on contractual negotiations in APJ, all while maintaining focus on achieving strategic business goals that drive Omnissa’s collective success.

Primary responsibilities include:

• Advising and supporting APJ HR professionals and business leaders on APJ employment law matters, including performance management, workplace investigations, discipline and due process hearings, leaves, employment agreements, accommodations, local authority filings, cross-border mobility, restructuring, benefits, retirement plans, and more.

• Reviewing and updating APJ HR policies, guidelines, rules, processes, templates, and training materials, in alignment with business priorities and regulatory requirements.

• Providing APJ employment law guidance related to due diligence and integration, while focusing on operational continuity.

• Staying on top of new and developing APJ employment laws and regulations and partnering with HR to develop plans for compliance.

• Developing and delivering training for cross-functional partners on APJ employment law and litigation-related best practices and risk mitigation.

• Overseeing employment-related disputes, claims and litigation in APJ, working closely with external counsel as needed, with an emphasis on cost-effective and pragmatic strategies.

• Partnering with sales and negotiating commercial contractual agreements, including but not limited to end user license agreements, professional services agreements and channel partner agreements.

• Serving as a trusted strategic advisor to and an integral part of the APJ team to help navigate complex business and commercial issues in the technology space in India and other APJ regions.

• Monitoring changes in relevant laws and regulations in India and other APJ regions and advising on its potential impact to the organization.

• Overseeing corporate governance matters in India, including but not limited to entity management, board meetings, corporate actions, business registrations, and M&A.

Qualifications

What will you bring to Omnissa?

• Extensive knowledge of labor laws in APJ, particularly in India.

• Proven ability to navigate global employment law issues in India, its various regions and other APJ jurisdictions, including experience with global investigations, global mobility issues, and global HR compliance.

• At least 8 years of relevant, post qualification legal experience at a law firm or in-house legal department, with a minimum of 4 years in-house and at least 2 years of employment law experience. Tech industry or software company experience is a plus.

• Knowledge of Indian laws and regulations related to AI, intellectual property and corporate matters.

• Expertise in legal entity lifecycle management: hands-on experience in forming, dissolving, and governing legal entities in India, including Private Limited Companies, including a sound understanding of compliance requirements under the Companies Act and related regulations.

• Experience with Indian business registrations: familiarity with obtaining and managing key local business registrations, including Shops & Establishment Registration, Labor Welfare Fund registration, Gratuity Trust registration, Professional Tax compliance, and Employee Provident Fund setup.

• Preferably, experience with Indian real estate transactions: experience drafting, negotiating, and reviewing lease agreements, sale deeds, title due diligence, and real estate compliance specific to Indian laws.

• Experience negotiating commercial and technology licensing agreements and an eagerness to support the commercial and procurement legal teams as-needed and engage cross-functionally to help resolve contractual inquiries and issues.

Travel Expectations: 5%

Education: Bachelor of Laws (LLB) or Master of Laws (LLM) from an accredited law school; active registration with the Bar Council of India (license to practice in other APJ jurisdictions a plus).
