What is the opportunity?:

As Procurement Corporate Counsel, you will play a critical role in supporting Omnissa's Strategic Sourcing and Procurement teams by providing legal expertise throughout the procurement lifecycle. You will ensure compliance, mitigate risks, and develop streamlined processes to enable efficient and legally sound procurement activities. Here is a breakdown:

· Review, draft, and negotiate procurement agreements, including purchase agreements, supplier contracts, service agreements, and vendor agreements.

· Ensure compliance with company policies, procedures, and regulatory requirements throughout the contract lifecycle. · Provide legal advice and support to purchasing leads and the Strategic Sourcing and Procurement teams, from vendor selection to contract execution.

· Identify and mitigate legal risks associated with purchasing activities, including supplier disputes, contract breaches, and regulatory compliance.

· Develop and maintain procurement legal policies, procedures, and templates to enhance legal compliance and operational efficiency.

· Collaborate with sourcing, privacy, information security, legal, and other cross-functional teams to create contract terms that align with business goals and mitigate risks.

· Assist with due diligence activities for vendor selection, contract negotiations, and mergers and acquisitions.

· Provide guidance to internal stakeholders on contract interpretation, dispute resolution, and related matters.

What will you bring to Omnissa?

· Juris Doctor (JD) degree from an accredited law school and an active license to practice law.

· 5+ years of experience as an attorney with a focus on procurement, contracts, or commercial law.

· Proven experience negotiating IT and Services procurement agreements.

· Strong background in negotiating Data Protection Agreements.

· In-depth understanding of procurement processes, contract law, and compliance.

· Excellent drafting and negotiation skills with the ability to explain complex legal concepts to non-lawyers.

· Ability to identify and mitigate legal risks while offering practical solutions to complex issues.

· Strong organizational skills to manage multiple priorities in a fast-paced environment.

· A collaborative mindset to work effectively with cross-functional teams and build strong relationships.
